Freescale Announces Pricing of Senior Secured Notes Offering

Freescale Semiconductor announced today that Freescale Semiconductor, Inc. priced the previously announced offering of its senior secured notes. The offering consists of $500 million aggregate principal amount of senior secured notes due 2021 (the Notes). The Notes will bear interest at 5.0% and will mature on May 15, 2021.
The closing of the private offering is expected to occur on May 21, 2013, subject to customary closing conditions.

Freescale intends to use the net proceeds from the offering of the Notes to redeem $442 million principal amount of its outstanding 10 ⅛% Senior Secured Notes due 2018 in accordance with the indenture governing those notes, and to pay the related premium and fees. The foregoing does not constitute a notice of redemption for any outstanding notes. The purposes of the offering and the application of the proceeds are to extend a portion of Freescale’s debt maturities from 2018 to 2021 and to reduce interest expense. Freescale’s annualized cash interest expense savings after giving effect to the offering and the application of the net proceeds is expected to be approximately $20 million.

The Notes will not be registered under the Securities Act of 1933, as amended (the Securities Act), or any state securities law and may not be offered or sold in the United States absent registration or an applicable exemption from registration under the Securities Act and applicable state securities laws. The Notes will be offered in the United States only to qualified institutional buyers under Rule 144A of the Securities Act and outside the United States under Regulation S of the Securities Act.
